Terms of Use

Introduction

These Terms of Use (the "Terms") govern your use of the Service. Use constitutes acceptance of the Terms in full. If you do not agree — please refrain from using the Service.

1. Definitions

  • "the Platform" / "TKTZ" — the website and services operated by TKTZ.FLY Inc..
  • "Supplier" / "Wholesaler" — a third party that offers airline tickets through the marketplace and carries out the sale, issuance, and payment with the user.
  • "User" — anyone who uses the Service.
  • "Order" — a request to purchase a ticket transmitted through the marketplace to a supplier.

2. The Nature of the Service — TKTZ Is Not a Party to the Transaction

TKTZ provides a technology marketplace for discovery, comparison, and order referral only. The ticket-purchase contract is concluded directly between the user and the supplier/wholesaler. TKTZ is not the seller, the issuer, or the carrier; is not a party to the purchase contract; does not collect the consideration from the user; and is not responsible for availability, validity, issuance, provision of the service, or honoring of the ticket. TKTZ’s consideration is received from the supplier. Every representation, price, term, and policy regarding the ticket is that of the supplier/carrier.

3. The Order and Payment Process

The user searches and selects within the marketplace; the prices displayed (including route pricing, last sale, and buy/sell offers) reflect information from supplier sources and may change up to the time of actual engagement with the supplier. Payment is made and processed at the supplier/wholesaler (or its payment processor). An invoice/receipt will be issued by the collecting party in accordance with law. Completion of the order is subject to the supplier’s approval and terms.

4. Non-Transferability of Airline Tickets and Carrier Terms

Airline tickets are subject to the carrier’s Conditions of Carriage and to the supplier’s terms. On many tickets the registered name must match the passenger’s ID/passport, and some are not subject to name change, assignment, or transfer. Responsibility for verifying conformity, validity, and transferability rests with the supplier and the user, and TKTZ does not guarantee the transferability of any ticket. Providing incorrect passenger details may result in the ticket being voided without a refund. To the extent the marketplace offers a built-in verification/assignment process, it is subject to the carrier’s and supplier’s terms and does not constitute a commitment by TKTZ as to outcome.

5. Registration, Account, and Eligibility

Use is permitted to those aged 18 and over who have the legal capacity to enter into a contract. You must provide accurate and complete details, keep your access credentials confidential, and be responsible for all activity in your account.

6. User Undertakings and Representations

  • To provide accurate passenger details and verify their conformity with travel documents.
  • To use the Service for lawful purposes only, without fraud, impersonation, unauthorized scraping, or compromising the security of the system.
  • Not to circumvent technical limitations and not to infringe third-party rights.

7. Prices, Fees, and Platform Consideration

The price is determined by the supplier. To the extent any service fee applies to the user, it will be clearly displayed before the engagement. Under the current model, TKTZ’s consideration is paid by the supplier. Taxes, levies, and surcharges are the responsibility of the collecting party and in accordance with law.

8. Cancellations, Changes, and Refunds

Cancellations, changes, and refunds are subject to the supplier’s policy and the carrier’s terms, and are detailed in Part D — Cancellation & Refund Policy. TKTZ is not responsible for providing a refund and does not hold the user’s consideration funds.

9. Intellectual Property

All rights in the Service, the design, the trademarks, the content, and the software are reserved to TKTZ or its licensors. You may not copy, reproduce, distribute, or create derivative works without written permission. Names and marks of carriers and suppliers belong to their respective owners.

10. Limitation of Liability and Indemnification

The Service is provided “AS IS.” Subject to the mandatory consumer law applicable to you, TKTZ is not responsible for the acts or omissions of suppliers/carriers, including flight cancellations, schedule changes, non-issuance, or failure to honor a ticket; and is not responsible for indirect, consequential, or special damages. To the extent liability is imposed, it shall be limited to the maximum extent permitted by law. Nothing herein derogates from non-waivable consumer rights. The user shall indemnify TKTZ for any damage caused by the user’s breach of the Terms or of the law.

11. Suspension and Termination of Service

We may, at our reasonable discretion, suspend or terminate access to the Service in the event of a breach, suspected fraud, or a legal requirement, subject to the provisions of applicable law.

12. Changes to the Terms

We may update the Terms from time to time. A material change will be brought to your attention, and continued use after the update constitutes acceptance.

13. Governing Law and Jurisdiction

The Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, and exclusive jurisdiction shall vest in arbitration mechanism. Nothing herein deprives an EEA or U.S. resident of mandatory consumer rights existing under the law of their place of residence.

14. User-to-User Trading (C2C) — Future

If the Platform enables, in the future, the resale of tickets between end users, additional terms will apply to it, to be published at the time of launch (including seller identification, user-to-user liability, pricing, and an escrow/clearing mechanism), and they will prevail with respect to C2C activity.
